End User License Agreement

THIS AGREEMENT IS CONTINUOUSLY ACCESSIBLE ON XFLIGHTSCHOOL AND IS PUBLISHED IN THE ADVERTISEMENT.
ANYONE WHO PURCHASES OR RENTS THE x Flight School SOFTWARE IS DEEMED TO HAVE READ, UNDERSTOOD, AND ACCEPTED THIS AGREEMENT IN ADVANCE.

PARTIES-

Lemerco Electronic Commerce Limited Company will be referred to as "x Flight School" and "x Flight School.com".

- The person or organization using the x Flight School software will be considered as a "User".

DEFINITIONS

- Systemmio: Lemerco Electronic Trade Limited Company.

- x Flight School or x Flight School Software: It is an automation software system developed by Lemerco Electronic Commerce Limited Company for companies that offer "hosting, domain name registration, server rental, sms, software and other digital services" and operate in this field.

- x Flight School.com : It is the official website where the introduction of x Flight School software, license sales and support services are provided.

SUBJECT OF

THE CONTRACT Purchasing/leasing and ensuring the use of the "x Flight School" automation software produced by Lemerco Electronic Trade Limited Company by the User in accordance with the procedures and principles specified below.

TYPES OF LICENSES AND THEIR PROVISION

4.1. The license types and price information of the software are currently as announced on the x Flight School.com website. Licenses are defined on a single domain name and cannot be used in any domain or subdomain other than that domain name. The user shall prefer any of the types of licenses that he deems appropriate for him.

4.2. MONTHLY / YEARLY LICENSES

4.3. Startup License (Monthly)In this type of license,
the software is rented on a monthly or annual basis and there is an obligation to have a brand link on the software in the form of "Powered by x Flight School" in relation to the x Flight School brand. In case of any intervention that will prevent the removal, concealment or appearance of this link in any way, the user accepts and declares in advance that the license he has purchased will be canceled regardless of the type and the payment will not be refunded under any circumstances. There are no limitations. Free updates and support are provided during the service usage period.

4.4. Professional License (Monthly)In this type of license,
the software is rented on a monthly and annual basis and there is no obligation to include a brand link on the software in the form of "Powered by x Flight School" in relation to the x Flight School brand. There are no limitations. Free updates and support are provided during the service usage period.

4.5. LIFETIME LICENSES

4.6. Startup License (Lifetime)In this type of license,
the software is purchased with a one-time payment and there is an obligation to have a brand link as "Powered by x Flight School" regarding the x Flight School brand on the software. In case of any intervention that will prevent the removal, concealment or appearance of this link in any way, the user accepts and declares in advance that the license he has purchased will be canceled regardless of the type and the payment will not be refunded under any circumstances. There are no limitations. During the service usage period, update and support services are provided within the annual fee to be determined by x Flight School.com. In the first year, the update and support service is free.

4.7. Professional License (Lifetime)In this type of license,
the software is purchased with a one-time payment and there is no obligation to have a brand link on the software in the form of "Powered by x Flight School" in relation to the x Flight School brand. There are no limitations. During the service usage period, update and support services are provided within the annual fee to be determined by x Flight School.com. In the first year, the update and support service is free.

4.8. Enterprise License (Lifetime)
This type of license allows you to make a one-time paymentand there is no obligation to include a brand link on the software that says "Powered by x Flight School" in relation to the x Flight School brand. There are no limitations. Lifetime update and support service is free of charge.

4.9. Free/Trial License
In this license type, x Flight School software license is offered free of charge. There is no predetermined termination time. There is some text on the software that sends a link to the www.x Flight School.com website. These can be as follows; "Powered by x Flight School, Hosting Billing Automation, Hosting Billing System, Hosting Billing Software, Billing Automation, Billing Software" and so on. These linked sender texts are required to be at the bottom of the site. In case of any intervention to remove, hide or prevent this link from being seen, the free license will be revoked and the user will be permanently prevented from obtaining a free license again. The free license is subject to some restrictions and limits. These restrictions can be accessed via the "PRICING" page on www.x Flight School.com. If the aforementioned restrictions and limits are reached on the free license, the use of the system related to the restrictions and limits may be prevented or issues that will prevent the use may occur. An upgrade to a paid license type is required to continue using it freely. x Flight School.com may make changes or discontinue the terms and conditions of the free license service at any time. In this case, the user must upgrade to a paid license type. All users who wish to use a free license accept and agree to these terms and conditions.

4.10. Obtaining the License
The license is obtained through the website School.com www.x Flight. The user will be able to access the license information he/she has purchased or rented by logging in with the customer information on the www.x Flight School.com website and will be able to obtain the installation files.

LİSANS DEĞİŞİM POLİTİKASI

Lisans bilgisini istediğiniz zaman değiştirebilirsiniz. Fakat, lisans bilgisi değişikliği "yeniden satmak" amacıyla yapılamaz. Bunun tespit edilmesi halinde ilgili lisans iptal edilir ve tüm haklardan feragat etmiş olursunuz.

LİSANS TRANSFER/DEVİR POLİTİKASI

6.1. Kiralanan lisanslar (aylık veya yıllık), bir başkasına devir/transfer edilemez. Fakat ömürlük (tek sefer ödenen) lisanslar aşağıda açıklanan diğer maddeler çerçevesinde devir/transfer edilebilir.
6.2. Ömürlük lisanslar için transfer/devir uygulaması, x Flight School.com'un kullanıcılarına sunduğu istisnai bir işlemdir. Lisansın bir başkasına devri/transferi ile ilgili kalıcı bir hak veya imtiyaz sağlamaz.
6.3. Ömürlük (tek sefer ödeme yapılan) lisanslar, x Flight School.com ücretlendirme sayfasında yürürlükteki lisans ücretinin %30 oranında ödeme yapılması koşulu ile başka bir kullanıcıya devir/transfer edilebilir. Lisans devir/transfer işlemi tamamlandıktan sonra bu işlem geri alınamaz.
6.4. Transfer edilmiş lisansın "yeniden" transfer edilmesi için, yine aynı şekilde x Flight School.com ücretlendirme sayfasında yürürlükteki lisans ücretinin %30 oranında ödeme yapılması gereklidir. Lisans devir/transfer işlemi tamamlandıktan sonra bu işlem geri alınamaz.
6.5. Daha önce x Flight School.com lisans kullanım sözleşmesini ihlal eden kişi yada kuruluşlara lisans transferi/devri yapılamaz. x Flight School.com, uygun görmediği kişi yada kuruluşlara lisans transferi/devri işlemini reddetme hakkına sahiptir. Kullanıcı, bu durumda herhangi bir hak talebinde bulunamaz.
6.6. Kullanıcı, x Flight School.com hesabının giriş bilgilerini bir başkasına vermek, e-posta ve diğer bilgilerini değiştirmek suretiyle lisansını bir başkasına devir/transfer edemez. Bu durumun herhangi bir şekilde tespit edilmesi halinde, ilgili müşteri hesabında tanımlı mevcut lisanslar ve müşteri hesabı iptal edilir. Lisansını devir/transfer eden ve lisansı devir/transfer alan kişi yada kuruluşlar, bu durumu peşinen kabul ve beyan eder.
6.7. x Flight School.com, herhangi bir zamanda ve önceden haber vermeksizin lisans transfer/devir uygulamasını sonlandırma veya üzerinde değişiklik yapma haklarına sahiptir. Lisans devir/transfer uygulaması sonlandırıldığında, kullanıcı daha önce satın almış olduğu mevcut lisansı için devir/transfer talebinde bulunamayacağını peşinen kabul ve beyan eder.

İPTAL/İADE POLİTİKASI

7.1. İptal/iade işleminin yapılabilmesi için, x Flight School yazılımının kendinden kaynaklı herhangi bir sorun, hata veya problemin olması ve bunun giderilememesi durumu esastır. Yazılım üzerinde bulunmayan herhangi bir özellik yazılımın eksik, hatalı veya kusurlu olduğu anlamına gelmez. Kullanıcı, yazılımı satın alma veya kiralamadan önce, baştan uca incelemek gerektiği takdirde bilgi istemek ve kendisine uygun olup olmadığını teyit etmek ile yükümlüdür.

7.2. Yazılımın yüklendiği sunucunun yeterli donanım ve özelliklere sahip olmaması ve diğer sunucu taraflı sorunlar nedeniyle iptal ve iade yapılmaz.

7.3. Sistemle entegre çalışan üçüncü parti modül ve API'lerden kaynaklı sorunlar nedeniyle iptal ve iade yapılmaz.

7.4. Ek ürün/hizmetler için iptal ve iade yapılmaz. (Örneğin: kurulum hizmet, yapılandırma hizmeti, ek modül ve eklentiler.)

7.5. İptal ve iade için gerekli durumlar oluştuğu taktirde, müşteri paneli hizmet detayı üzerinden iptal talebi oluşturulmalıdır.

TECHNICAL SUPPORT

8.1. The user has the right to request technical support at any time in relation to the x Flight School software license purchased or rented. The user will submit technical support requests through the "Support System" by providing customer login on the www.x Flight School.com website. Apart from this, it accepts and declares that it cannot receive support services. Technical support response times can take up to 24 hours on average, depending on busyness. The user agrees to this situation. Technical support services are related to the standard operation of the software and the problems, errors and problems to be experienced. Other issues are not within the scope of support. No support is provided for third-party integrations and APIs. Problems caused by incorrect and invalid interventions applied on x Flight School software files are not considered within the scope of technical support and x Flight School.com has no responsibility. In such cases, the user agrees and declares that the software will solve the problem by uploading the original files and database back to the server.

8.2. The User is obliged to provide and maintain all kinds of hardware required for the smooth operation of the x Flight School software. These equipment are basically declared to the User before and during the purchase. In some cases, it may require a number of additional hardware and software features above the basic level. The User acknowledges and agrees that in such cases, the features declared by x Flight School.com will also be provided.

8.3. The User agrees and declares that he/she will receive support services for all matters "outside the standard operation" of the x Flight School software, and that x Flight School.com will not be able to provide support services in some cases, even if it is against a fee, depending on the workload in such cases.

8.4. The User agrees and declares that he/she will pay the fee to be determined by x Flight School.com for additional modules, requests and arrangements. The user cannot claim rights regarding additional modules, requests and arrangements that will be made later in the software. The user not only obtains the license for the use of the software, but also purchases only the right to use the additional modules and requests made later. Thus, the User does not have the right to demand that a similar additional module, arrangement and request is not added to another customer or site or used in general sales. (If there is no additional contract or agreement.)

OTHER TERMS AND CONDITIONS

9.1. The User agrees that he will not act in any way that will harm the commercial reputation, prestige and prestige of x Flight School.com and other customers, as well as all x Flight School.com products, and that in case of such situations, the customer account and all related products and services will be canceled without question, no refund payment will be made, and that he will indemnify and compensate for all damages and losses incurred by x Flight School.com and its customers arising from this situation, undertakes and declares.
92. The User accepts, undertakes and declares that he/she will indemnify x Flight School.com against all damages and losses incurred by x Flight School.com against any claims arising from the use of x Flight 's services.
9.3. Exempt x Flight School.com from support services in the face of refusal to provide service, mobbing behaviors exhibited by the customer and behaviors that will adversely affect the working performance of x Flight School.com officials and personnel, regardless of who requests it, and cancel the customer account with all its products/services by refunding the amounts corresponding to the remaining use of the User's products/services. The right to do so is reserved. The user accepts and declares this.

9.4. The User accepts and declares that he/she will not create more than one customer account (multi-membership/multi-membership), and if this is detected, all his/her accounts will be canceled together with the paid/free services connected to his/her accounts.

9.5. The user accepts and declares that the data such as name/surname, e-mail address, gsm number, TR identity number defined in the system while creating an account cannot be changed for any reason later, and that he/she cannot make any requests in this regard.

LICENSE PAYMENTS AND DEFAULT OF PAYMENTS

x Flight School license payments are made in advance by credit card or bank transfer at the time of obtaining the license. Each license period of the licenses obtained through monthly leasing is 30 days. Overdue licenses are suspended the day after the due date and will be canceled for non-payment. A license warning will automatically be displayed on the user website linked to the suspended license. The user accepts and declares this in advance. For lifetime licenses, a one-time payment is made and no repayment is required.

UPDATES

x Flight School is subject to updates and new releases from time to time. Updates are made through the admin control panel > update center. x Flight School.com is not obliged to share any information about the content, duration and scope of updates and does not offer any guarantees.

THIRD PARTY INTEGRATIONS AND API A

number of api integrations are available on x Flight School. These are API integrations and modules developed for third-party products and services that are not connected to the software to work integrated with x Flight School. X Flight School.com is not responsible for any disruptions that may occur as a result of changes or errors made by third party services with API integration in their own infrastructure. x Flight School.com does not offer any guarantee that they will work for a lifetime or that they will be free from problems.

CHANGES TO THE AGREEMENT x Flight School.com may

change the terms of this agreement, in whole or in part, the products and services offered on the site at any time. Changes will be effective from the date they are published on the site. It is the User's responsibility to follow and control the changes.

INTELLECTUAL PROPERTY RIGHTS

14.1. x All intellectual property rights, whether registered or unregistered, in the title, business name, trademark, patent, logo, design, and products contained in x Flight School.com belong to the site operator and owner company or the relevant person and are under the protection of national and international law. The use of the products and services subject to this agreement does not grant any rights to the intellectual property rights in question.

14.2. x Flight School automation software may not be reproduced, published, copied or transmitted in any way without permission. It cannot be used in whole or in part without permission.

14.3. x Flight School visual design and source codes are registered by the "Ministry of Culture and Tourism General Directorate of Copyrights" and all rights are reserved. It is sold only through our website, the websites of our dealers and our authorized business partners.

INTEGRITY AND APPLICABILITY

OF THE AGREEMENT If one of the terms of this agreement becomes invalid, in whole or in part, the remainder of the agreement will continue to be valid.

NOTICE

All notifications to be sent to the parties related to this Agreement will be made through the e-mail address known to x Flight School.com and the e-mail address specified by the user in the membership form. The user agrees that the address specified while becoming a member is the valid notification address, and that if it changes, it will notify the other party in writing within 5 days, otherwise the notifications to be made to this address will be deemed valid.

DISPUTE RESOLUTION

: Gaziantep (Central) Courthouse Courts and Enforcement Offices are authorized to resolve any dispute arising from the implementation or interpretation of this Agreement.
